1. Scope and local Contracting Entity
Brightening Technology Company is licensed and authorized to market and sell Whatsly in Saudi Arabia. For subscriptions it sells, it is the local Contracting Entity and enters into the subscription transaction with the Customer in its own name.
This addendum supplements the global Terms and does not duplicate them. If it conflicts with the global Terms on a Saudi commercial subject, this addendum takes priority after any signed enterprise agreement or Order Form.
2. Platform ownership and licence
Ignite Solutions Pte. Ltd., Singapore, remains the Platform Owner and Global Licensor of Whatsly. Brightening Technology Company receives no ownership interest in the platform, source code, software, technology, interfaces, designs, documentation, branding or associated intellectual property.
The Saudi Customer receives only the limited right to access and use Whatsly during an active subscription under the global Terms.
3. Saudi invoicing, payments and VAT
Brightening Technology Company issues Saudi invoices for subscriptions it sells. Payments are made to Brightening Technology Company or its authorized payment provider identified in the applicable checkout or invoice.
Prices may be subject to Saudi VAT and other mandatory charges. The applicable price, currency, VAT treatment, billing period and payment method must be disclosed before purchase or in the Order Form. This addendum does not provide tax advice.
4. Renewals, cancellation, refunds and credits
Renewal, cancellation, refunds and credits are handled by Brightening Technology Company according to the applicable Order Form, this addendum, the global Terms and mandatory Saudi law.
An issued invoice is not retroactively transferred to another Contracting Entity. Any change for a future renewal requires the notice and protections described in the global Terms.
5. Local onboarding and first-line support
Brightening Technology Company may provide local sales, onboarding, account administration and first-line support to Saudi Customers. The specific local services included are those stated in the applicable order or support arrangement.
Support access to workspace information is not automatic. It is conditional on Customer authorization, role-based access, operational necessity and the applicable data-processing arrangement.
6. Acceptable use and enforcement
The Customer remains subject to the global Acceptable Use Policy and all consent, anti-spam, suppression, Meta and WhatsApp, security and lawful-contact requirements in the Customer Agreement.
Ignite Solutions Pte. Ltd. may apply product-level technical enforcement. Brightening Technology Company may, within its commercial authority, restrict or suspend access for non-payment, chargeback, suspected fraud, breach of the local order, misuse, failure to provide requested consent evidence or violation of global policies.
7. Privacy roles
Brightening Technology Company may act as controller for Saudi sales enquiries, local contracts, invoicing, payments, tax records, account administration and its own support records. Ignite Solutions Pte. Ltd. may act as controller for platform security, operations and abuse prevention, and as processor or service provider for Customer-controlled workspace data.
Platform data may be processed or accessed outside Saudi Arabia by the Platform Owner or its technical subprocessors, subject to applicable legal requirements and contractual safeguards. No Saudi-only data-residency promise is made.
8. Local details and contact
The applicable Order Form or invoice provides the local registration, tax, address and contact details required for the transaction.
